Präamble
R2GConnect is a match making platform for the digital health industry. Partners can place briefings to announce partnership opportunities for startups. Startups and innovators can apply to those briefings.
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the R2G Connect platform and services (collectively, the "Services") provided by Research2Guidance ("R2G", "us", "we", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Services.
2. Eligibility
You must be at least 18 years old to access and use the Services. By accessing or using the Services, you represent and warrant that you are of legal age to form a binding contract and meet all of the eligibility requirements in these Terms.
3. Account Registration and Security
To access certain features of the Services, you may need to create an account. When creating an account, you agree to provide accurate and complete information about yourself. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to immediately notify R2G of any unauthorized use of your account or any other breach of security.
4. User Content and Conduct
USers can submit briefings, applications or chat comments. You are solely responsible for any content you submit, post, or transmit through the Services ("User Content"). You agree not to submit, post, or transmit any User Content that is unlawful, defamatory, infringing, harassing, abusive, or otherwise objectionable. R2G reserves the right, but is not obligated, to remove or modify any User Content for any reason, without notice.
5. Intellectual Property Rights
By submitting User Content through the Services, you grant R2G a non-exclusive, royalty-free, worldwide, and perpetual license to use, reproduce, modify, distribute, and display such User Content in connection with the Services. You represent and warrant that you have the necessary rights and permissions to grant this license.
6. Data Protection and Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By accessing or using the Services, you agree to the practices described in the Privacy Policy.
7. Third-Party Links and Services
The Services may contain links to third-party websites or services that are not owned or controlled by R2G. R2G has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that R2G is not responsible for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party websites or services.
8. Disclaimer of Warranties and Limitation of Liability
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. R2G disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. R2G does not warrant that the Services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable law, in no event will R2G be liable for any direct, indirect, special, incidental, or consequential damages arising out of or in connection with your access to or use of the Services, even if R2G has been advised of the possibility of such damages.
9. Governing Law and Jurisdiction
These Terms and any disputes arising out of or relating to them or your access to or use of the Services shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Berlin, Germany, for the resolution of any disputes arising out of or relating to these Terms or your access to or use of the Services.
10. Changes to the Terms
R2G reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
11. Termination
R2G may terminate or suspend your access to the Services, at its sole discretion, without prior notice or liability, for any reason, including, but not limited to, a breach of these Terms. Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. R2G's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
